The rules for using OpenWaya accounts, APIs, credits, model access, and related services.

About these terms
These Terms govern access to OpenWaya's websites, dashboard, APIs, model routing, stored credits, documentation, and related services. OpenWaya is a DruxAI company. Until a separate OpenWaya contracting entity is identified in an order or agreement, references to OpenWaya describe the service operated by DruxAI.
By creating an account, accepting an invitation, purchasing credits, or using the service, you agree to these Terms and the linked Privacy Notice and Acceptable Use Policy. If you use OpenWaya for an organization, you confirm that you have authority to bind it.
Eligibility and accounts
You must be legally able to enter a binding agreement and use the service in your location. You must provide accurate information, keep it current, protect passwords and API keys, use least-privilege credentials, and promptly report suspected compromise to support@openwaya.africa.
You are responsible for activity under your users, organizations, applications, and keys. You may not share personal credentials, expose server keys in client applications, transfer an account without approval, or evade limits by creating additional accounts.
Service, models, and routing
OpenWaya provides a gateway to third-party and hosted AI models. Model availability, capabilities, context limits, routes, latency, safety behavior, and provider terms can change. The current catalog, route policy, request result, and configuration evidence are authoritative for a particular use.
Automatic routing and fallback can select a different eligible provider or model route under your configuration. You remain responsible for selecting appropriate models, privacy settings, regions, limits, and human review for your use case.
Your content and applications
You retain rights you hold in prompts, inputs, application data, and outputs, subject to applicable law and third-party model terms. You grant OpenWaya only the limited rights needed to transmit, process, secure, meter, troubleshoot when authorized, and otherwise provide the service.
You must have all permissions and lawful bases needed for data you submit. Do not submit secrets, regulated data, personal data, copyrighted material, or confidential information unless your selected configuration, provider terms, agreements, and law permit that processing.
Acceptable use
You must follow the Acceptable Use Policy and applicable provider rules. You may not use OpenWaya for unlawful harm, fraud, abuse, malware, credential theft, deceptive impersonation, privacy violations, intellectual-property infringement, safeguard evasion, unauthorized surveillance, or interference with the platform or another tenant.
High-impact uses involving health, law, finance, employment, education, housing, public benefits, critical infrastructure, or physical safety require appropriate expertise, testing, transparency, human oversight, and compliance controls.
Credits, billing, and taxes
Displayed currencies are a convenience. Each checkout identifies the processor, settlement currency, exchange-rate evidence, fees, and OpenWaya credit before payment. Credits are a limited contractual right to use eligible services; they are not money, a bank account, a deposit, transferable currency, or an investment.
You authorize applicable charges and are responsible for taxes and lawful payment use. Prices can change prospectively. Refunds, disputes, expiration, promotional credits, processor fees, and conversion rules follow the terms shown at purchase and mandatory law; OpenWaya does not promise that every payment rail is available in every country.
Beta features and service changes
Preview, beta, experimental, free, and early-access features may be incomplete, change without notice, carry lower limits, or be withdrawn. Do not rely on them for production-critical workloads unless an executed agreement says otherwise.
We may maintain, improve, replace, limit, or discontinue features and integrations. We will provide reasonable notice of materially adverse changes when practical, except where immediate action is needed for security, legal compliance, provider availability, or platform integrity.
Suspension and termination
OpenWaya may rate-limit, quarantine, suspend, or terminate access when reasonably necessary to address non-payment, legal demands, security risk, abuse, provider restrictions, material breach, or harm to users or infrastructure. Emergency action may occur without advance notice.
You may stop using the service and request account deletion through supported account controls. Termination does not erase accrued charges, dispute evidence, audit records, legal holds, or provisions that by their nature should survive. Where available, export data you need before deletion.
AI output and warranties
AI output can be inaccurate, incomplete, biased, offensive, non-unique, or unsuitable. You must independently evaluate output before using or publishing it and must not treat it as professional advice. OpenWaya does not guarantee that output is correct, lawful, non-infringing, or fit for a particular purpose.
To the extent permitted by law, the service is provided as available without implied warranties of merchantability, fitness, title, non-infringement, uninterrupted availability, or error-free operation. Mandatory consumer rights are not excluded.
Liability and responsibility
To the extent permitted by law, OpenWaya and DruxAI are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, opportunities, or business interruption arising from the service, models, providers, or outputs.
Any applicable aggregate liability and indemnity obligations may be further defined in an executed order or agreement. Nothing in these Terms limits liability that cannot legally be limited, and no provision overrides mandatory rights in your jurisdiction.
Changes, law, and contact
We may update these Terms and will publish a new version and effective date. Material changes will be notified through reasonable service channels when required. Continued use after the effective date constitutes acceptance where permitted; otherwise, stop using the service.
Applicable mandatory law and any executed agreement govern unresolved legal matters. A future registered OpenWaya entity or order may identify additional governing-law and dispute terms. Questions, notices, and support requests can be sent to support@openwaya.africa.
